1. Acceptance of Terms

Welcome to GroundedNinja Business. These Terms of Service ("Terms") govern your use of our CRM application and related services (the "Service") operated by GroundedNinja ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

2. Description of Service

GroundedNinja Business is a lightweight CRM platform designed for small businesses, freelancers, and individuals. Features include:

• Contact and relationship management
• Interaction tracking and notes
• Pipeline boards and status tracking
• Email templates and outreach management
• Action tracking and calendar views
• Multi-tenant account management

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account using Google OAuth authentication or email/password signup. You must provide accurate and complete information and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the security of your account and all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Termination

You may terminate your account at any time through your account settings. We may terminate or suspend your account immediately if you violate these Terms or for any other reason at our discretion.

4. User Content and Data Ownership

4.1 Your Data

You own your data. All content you create, upload, or store in our Service—including contacts, interactions, notes, and pipeline data—belongs to you. By using our Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

4.2 Data Export

You can export your data at any time in CSV or JSON format through your account settings. If you delete your account, we will permanently delete all your data within 30 days.

4.3 Content Guidelines

You agree not to create, upload, or share content that:

• Is illegal, harmful, threatening, abusive, or defamatory
• Infringes upon intellectual property rights of others
• Contains viruses, malware, or other harmful code
• Is spam, solicitation, or unsolicited commercial advertising
• Violates any applicable laws or regulations

5. Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Transmit any unauthorized advertising, promotional materials, or spam
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated scripts or bots to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code

6. Subscription and Payment

6.1 Free Trial and Paid Services

We offer a 14-day free trial with full access to all features. After the trial, you may choose to subscribe to our Basic plan or contact us about Bespoke options. Pricing is described on our pricing page and may change with 30 days' notice.

6.2 Payment Terms

For paid subscriptions, you agree to pay all fees as described in your chosen plan. Payments are processed securely through Stripe. We do not store your credit card information.

6.3 Refund Policy

14-day money-back guarantee: If you're not satisfied within 14 days after your trial ends, we'll refund your first payment in full. Just email us at joe@grounded.ninja.

Monthly subscriptions: You may cancel at any time. No refunds are provided for partial months, but you retain full access until the end of your current billing period.

Annual subscriptions: After the 14-day guarantee period, no refunds are provided, but you may cancel and retain access until the end of your annual term.

6.4 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

6.5 Trial Limitations

After your 14-day trial ends, your account becomes read-only unless you upgrade to a paid plan. You can still view all your data but cannot create or edit content.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, functionality, and content (excluding Your Content), is owned by us and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business use in accordance with these Terms.

8. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Multi-Tenant Accounts

Our Service supports multi-tenant accounts where multiple users can belong to an organization. Account owners and administrators have additional responsibilities:

• Account owners are responsible for managing team member access
• Data created by team members belongs to the account, not individual users
• Account owners can remove team members at any time
• When you leave an account, you lose access to that account's data (unless you're the owner)

10. Disclaimers

10.1 Service Availability

We strive to maintain the Service, but we do not guarantee that it will be available at all times or free from errors, bugs, or other issues. We may perform maintenance that temporarily interrupts service.

10.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or data stored in the Service

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we will also email you at least 30 days in advance.

Your continued use of the Service after such changes constitutes acceptance of the new Terms. If you don't agree to the new Terms, you may terminate your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Service and supersede any prior agreements.
